   DigiCap is a private investment and strategic capital partner focused on technology-led
   businesses.

   philosophy, investment criteria, investment approach, way of partnering with businesses and

   intellectual property right or third-party right;

   DigiCap; and

   You acknowledge that DigiCap may review, assess, store, discuss and process Submitted
   Information for purposes including evaluating potential investment opportunities, responding
   to enquiries, conducting preliminary assessments, performing due diligence, engaging with
   internal and external advisers, and deciding whether to proceed with further discussions.
   Unless DigiCap has entered into a separate written non-disclosure agreement with you,
   information submitted to DigiCap through the Website or by email will not automatically be
   treated as confidential. You should not submit highly confidential, proprietary or sensitive

   material does not create any obligation on DigiCap to:

   b. respond to you;

   f. conduct due diligence;
   g. provide funding; or
   h. enter into any transaction.
   DigiCap may decline, discontinue or suspend discussions at any time and for any reason,

9. Similar Opportunities and Conflicts
   DigiCap evaluates and engages with a range of businesses, founders, technologies, sectors,
   investment opportunities and commercial partners.
   You acknowledge that DigiCap may already be considering, may in future consider, or may
   be involved in opportunities that are similar to, competitive with, or overlap with your
   business, idea, technology, product, market, customer base or strategy.
   Unless otherwise agreed in a separate written agreement, your submission of information
   does not restrict DigiCap from pursuing, investing in, advising, partnering with or supporting

10. . Intellectual Property
    All Website Content, including the DigiCap name, logo, branding, design, look and feel, text,
    graphics, icons, documents and other materials, is owned by or licensed to Digital Capital
    (Pty) Ltd and is protected by applicable intellectual property laws.
    You may view, download and print Website Content for your own internal, personal or non-
    commercial use, provided that you do not remove any copyright, trademark or proprietary
    notices.
    You may not, without DigiCap’s prior written consent:

    damage, cost, claim or expense, including legal costs on an attorney-and-client scale,
    arising from or relating to:

    b. your unlawful or improper use of the Website;
    c. any false, inaccurate or misleading information submitted by you;
    d. any breach of confidentiality, intellectual property rights or third-party rights caused by
